TapNow AI Generated Content Use and Commercial License

1. Scope
These terms apply to models, APIs, features, and outputs officially made available by TapNow that have undergone TapNow's preliminary verification for commercial-use suitability and that meet the conditions of these terms and the applicable project license certificate. The specific scope is determined by the model or API, version, generation time, exported file, license scope, and current status recorded in the project license certificate. Users must comply with these terms, the TapNow Terms of Service, and applicable product rules, complete any required payment, and ensure that inputs and reference materials are lawful. Content, models, APIs, or features not officially made available by TapNow, provided only for reference or research, having an invalid certificate status, or subject to another special notice are outside the commercial license scope described here. “TapNow” means the service provider and contracting entity identified in the applicable TapNow Terms of Service. “Preliminary verification” is limited to confirming official availability and upstream commercial-use conditions reasonably known to TapNow; it is not legal clearance of user inputs, specific outputs, third-party intellectual property, likeness, voice, personal information, or third-party platform requirements. Any license is limited to the scope TapNow or its upstream provider is authorized to grant, and model-, API-, or feature-specific terms prevail.
2. What Users May Do
Where the above conditions remain satisfied and no separate third-party rights clearance is required, TapNow agrees that users may, worldwide and on a non-exclusive basis, copy, edit, adapt, publish, distribute, display, and commercially monetize the relevant generated content. Users may also deliver or submit such content to clients, producers, distributors, or streaming platforms for a specific project, and may allow those parties to use it as necessary for that project's production, promotion, distribution, and operation. Unless the relevant product page clearly states otherwise, no separate license fee is owed to TapNow for the uses listed in the project license certificate; subscription, generation, storage, and third-party feature fees are unaffected. This license does not transfer rights in the TapNow platform, models, software, templates, or underlying materials, and does not authorize use of TapNow trademarks or any statement that TapNow endorses a specific project. Delivery and use by third parties are permitted only as reasonably necessary for the identified project. This does not authorize independent sublicensing, resale, stock-library distribution, model training or improvement, incorporation into a product or API, or continued use outside that project.
3. Rights
Users retain the rights they have in lawful input content. To the extent permitted by applicable law, intellectual property rights and other property interests that users lawfully obtain in generated content, if any, belong to the user or the relevant lawful rights holder. TapNow does not claim ownership of generated content solely because a user uses the service, but these terms do not affect the necessary license users grant to TapNow for service operation under the TapNow Terms of Service.
4. How TapNow Processes Content
To provide generation, storage, editing, export, collaboration, content safety review, technical support, project license certificates, and compliance services, users grant TapNow and necessary technical service providers a worldwide, free, non-exclusive right to process and use content for those purposes, including sublicensing where needed for those purposes, as described in the TapNow Terms of Service. Public promotional use or model optimization beyond what is necessary to provide the service will be handled under the applicable terms, privacy policy, or separately obtained authorization.
5. User Assurances
Users must ensure they have the right to submit, process, and use input content, reference materials, and any personal information involved, and have the right to use and deliver generated content under these terms. Users must not infringe copyright, trademark, patent, portrait, name, voice, privacy, personal information, or other lawful rights of others. When applying for a project license certificate, users must truthfully confirm third-party elements and authorization status, and provide supporting materials where reasonably required.
6. Content Not Automatically Covered
Third-party images, videos, music, fonts, trademarks, characters, real-person likenesses or voices, and materials uploaded by users, selected from community or template libraries, or provided by third-party services may be subject to separate licensing terms. Unless a page expressly states that the relevant rights are included, users must obtain necessary authorization themselves. A project license certificate does not automatically cover those third-party rights.
7. What TapNow Does Not Promise
Because of the nature of generative AI, identical or similar inputs may produce identical or similar outputs. Whether generated content is protectable and the scope of any rights depends on applicable law and the actual creative circumstances. TapNow does not guarantee uniqueness, copyrightability, or absolute non-involvement of third-party rights, and does not guarantee acceptance by any third-party platform. For projects that meet these terms and have a valid certificate, TapNow will not restrict commercial use within the certificate scope merely on the general basis that the content is AI-generated, and will provide reasonable online verification and support.
8. AI Content Labeling and Legal Disclosures
The use, publication, distribution, and commercialization of generated content may be subject to AI content labeling, consumer protection, advertising, intellectual property, personal information, and other applicable laws and platform rules depending on the user's location, place of publication, distribution platform, and specific use case. Users are responsible for confirming and complying with any applicable disclosure or labeling obligations. Where applicable law requires labeling, TapNow will add the required explicit and implicit labels. Users must not maliciously delete, tamper with, forge, or hide labels added as required by law. A version without an explicit label may be provided only where permitted by law, upon the user’s affirmative request, and after the user’s labeling duties and use responsibilities are stated in the applicable agreement. TapNow will retain recipient information and related logs for at least six months, or longer where required by law, and preserve legally required implicit labels.
9. Project License Certificate
TapNow may issue a project license certificate for eligible projects and specific exported files. The certificate records and verifies the contractual use license TapNow provides, within the scope it is authorized to license, based on models, APIs, or features officially made available by TapNow and preliminarily verified by TapNow for commercial-use suitability. The certificate may include the model, API, or feature and its version, generation time, exported file, license scope, labeling status, applicable terms, and current status. The certificate is not a copyright registration certificate or a guarantee of third-party rights, does not replace any other authorization users must obtain, and does not guarantee review approval by any third-party platform.
10. License Stability and Status Changes
For content lawfully generated and exported while a certificate is valid, TapNow generally will not retroactively cancel the license listed in the certificate solely because a subscription later expires, a model is later discontinued, or rules generally change, except where there is user breach, false statement, fraud or non-payment, material change to the project or file, regeneration, addition of external materials, third-party rights complaint, legal, regulatory, or upstream authorization requirement, or obvious system error. Where restriction, suspension, or revocation is required, TapNow will, where reasonably practicable, explain the reason and affected scope and provide a channel for supplemental materials, model replacement, or appeal. Urgent compliance measures are not limited by this paragraph.
11. Responsibility
If a user violates rights assurances, uses unauthorized third-party materials, conceals restricted content, or tampers with or misuses a project license certificate, and this causes third-party claims, regulatory action, or losses to TapNow, the user must bear responsibility under the TapNow Terms of Service. TapNow remains responsible for liabilities that cannot lawfully be excluded or limited.
12. Relationship with Terms of Service
These terms are special terms under the TapNow Terms of Service. For generated content use licenses that meet these conditions, if these terms conflict with the TapNow Terms of Service, the version of these terms effective when the user obtains the project license certificate will prevail for that matter. Matters not specially addressed here, including platform and model rights, the necessary license users grant TapNow, liability limitations, indemnity, account management, dispute resolution, and privacy processing, remain governed by the TapNow Terms of Service and Privacy Policy. If laws, regulations, regulatory requirements, or upstream authorizations change, TapNow may make necessary adjustments to later certificate issuance rules and explain the effect on existing certificates through the verification page or another reasonable method. The disclaimers, liability limits, indemnity, governing law, and dispute-resolution terms in the TapNow Terms of Service continue to apply, except for liability that cannot be limited under mandatory law. If the Japanese, English, and Chinese versions conflict, the English version prevails unless mandatory law requires otherwise. Each project license certificate will identify the applicable version of these terms and its effective date.
